Abstract:

The report is basically based on the topic of Mergers and Acquisitions in China. It is done on the following related topics like the companies available in Chinese market. The merging stands for the two companies collaborating with each other for a business related purpose. But the acquisitions are the companies available either in the Chinese and the foreign companies moving forward to the target companies. Here the term M&A has a deep meaning actually. It is not like that some company purchasing any another company. May be there are some situations arise like one company purchasing another company, but it will not be considered as a merging. Some people have an idea that one company purchasing another company is the merging on them. Is it true? This should be classifying properly so that we can get clear view on this matter. After a long time research on it, so many topics are understood. We have come to know that, in the M&A process a company actually needs some investment for a huge increment in their business. And at the same time an another company needs to make their business larger. At this condition if these two companies are tied together for a business purpose like, they share their stocks among themselves. So we can say the merger and acquisition is not only based on the context of two merging companies it says a lot about the shares will be distributed for the two individual companies. The corporate policy for the distribution of shares is also an important part for this merger and acquisition. Everything is going on this context has an extensive effect on a country. The effects can be classified to several parts like overall country’s financial growth, worker’s economic growth, as well as the financial growth of the shareholders. Most of the public shareholder’s financial growth is depends on this matter. Is there any problem happening at the time of merger and acquisition? make a fall on the stock value. At that time the public shareholders are the common looser. Another most important thing is that, for such kind of condition the public funds will not be there further and the merging companies may face lack of funds from equity. Aim of the Project:

Since, we are discussing the merger and acquisition in china. The aim is to find out the basic parameters and the related findings on this topic. Here we have just gone through a data sheet made of considering so many data available for the merger companies in china. The sheet contains the names of the companies in china involving in M&A and some of the outsider or foreign companies involving in this. We just have to make a statistical analysis on the datasheet with the findings. So the aim is to get a clear view on how many companies are involving in it. Which are the companies? With whom they are merging? What are the merger companies’ statuses? What is the condition of the shareholders and the economic growth for this merger and acquisition? To check all this parameters, we have done this project and prepared this report. Along with this to check the regression parameters with statistical analysis for the database we have in our hand. Now the question may arise, why China? Here the answer is very obvious, among all the countries one of the most economically strong country is China. The reason is only the worldwide business policy. So if we get the detail business policy related to the merger and acquisition then it will be very clear. The treason behind the high growth will be clear to all of us. These are the very basic aims of the project. The reasons why we are doing this? Everything is stated above.

Motivation:

The motivation of the project is to get a market overview on the given topic. Since in these days the merging in between two or more companies is very common in every country, but the maximum rate of merger and acquisition in companies is observed in China than any other countries in the world. Here two kind of motivation can be explained. The first motive is about the project. It is the betterment of our own knowledge about the M&A in china. If we go through this whole report, we can find out so many topics which are very much useful to research on this particular topic. It is not like that all companies are merging together for their betterment in the world of business. There are so many independent companies are also available in china. So we can get an overall map among all the companies. The second motive of this research report is to check the exact reason of merging. It is not like that without any reason two companies are merging among themselves, there must be a valid reason. A valid reason is very much important, otherwise any kind of violation on rules of merger and acquisition will not be allowed by any government. After doing a long time research on this topic we found various reasons for merging of two companies. The valid reason is important because the profit of public shareholders is depending on it.

  1. The merger and acquisition can be involved for betterment of business scope of two different types of company. With their mutual understanding and agreement.
  2. A company in loss can also have some intention to be merged with some another companies to make strong their establishment.
  3. A smaller company having high revenue also takes part in merger and acquisition with some large companies for their own betterment.
  4. A company involving in merger and acquisition also have some intention to grab the market of a country where they can get a huge population and customer. For this reason, also some company intentionally involve in merger and acquisition.
  5. From the point of view of corporate governance, it can be also a motive to be involved in merger and acquisition is to make huge revenue in their own country by inviting foreign companies for M&A.
  6. In some cases, merging companies also tries to grab the public equity fund as shareholders for a huge amount of investment on their company.

Since we are doing an overall research on this topic that is why we need to focus on so many queries related to it. This is not only for maintaining the formality to generate the report. It is a very basic need for this report. Because we all just do not have deep idea about merger and acquisition. So I think there are so many questions are into our mind. Here in this report we have included. Some questions, those are important on this context.

1. What is the impact of merger and acquisition on shareholder’s wealth?

Answer:

As the merger and acquisition is a very common thing among the companies in today’s market place, so we need to be very specific to declare the wealth of the shareholders. What is the effect on the shareholders; is one of the most important questions. For this purpose, we can say, for merger and acquisition two things may happen. One is the high growth of the companies involved them in M&A or a high loss on the same companies. Now on the point of view of the shareholders we can say at a high profit shareholder will also get the profit percentage as a result the overall economic growth will be on a positive slope. If the opposite thing takes place at that time the shareholders will also suffer with a high amount of loss.

2. Is merger and acquisition can really help for a sustainable growth of economy of a country?

Answer:

First we need to understand, what is sustainable growth? Sustainable growth is the growth that can sustain its effects for a long time. Univariate Analysis:

The empirical analysis is based on the univariate analysis and the regression. It says a lot about the abnormal returns to the acquirer as well as the abnormal returns for the shareholders also. It is done on such a manner that the returns are calculated from 5 days before to the 5 days after from the announcement date. Here the announcement date signifies the date of announcement of the merging of those particular companies. It is an important topic because the investment from public equity fund occurs to the Target Company and Acquirer Company just after the announcement. Here we can see negative as well as positive returns because we are considering +-10 days.

For this context we have taken a sample company and made an AR (abnormal returns) for that particular organization.

Regression Calculation:

Before we do perform the regression analysis we need to know what does it means by regression analysis. The regression analysis is one of the statistical analysis methods where we can get the relationship between two variables one is the dependent variable and another one is the independent variable. If we perform the regression analysis, we will get to know how the changing behavior is occurring. It can predict the outcome based on a historical data we have in our datasheet. The influence of one or more independent variables on a dependent variable is being found out in regression. Some time it may happen like the outcome values are not properly placed on the histogram or on the pivot diagram. At that time, we will not be able to find out the general logic of the changing behavior based on equation. At that time, it is very difficult to find out the equation for observation because with the help of different up down values we cannot prepare linear equations. But here with the help of regression we will get statistical parameters like p value, t value, R value, R square value which can describe the overall relationship between variables. Here we are focusing more in regression analysis because we can get exact results from the regression only. For most of the statistical analysis we have seen before in various research papers there the empirical analysis result is completely based on the regression. We have considered two variables for regression analysis these are company merging as per annum of the announcement and another is the amount of deal. The reason behind choosing the variables is, if we choose date as an independent variable and deal amount as a dependent variable then we can find out a relation like how the success and the rate of involvement in M&A is increasing day by day.

As a summary of result we can say value of R is 0.115558, value of R square is 0.013354t statistics value is 2.06857 and the p statistics value is 0.039448. The coefficient at x variable 1 is 0.007311 which is a positive value. For this reason, the numerical value of R is positive in nature. R is known as the correlation coefficient which is positive in nature and that proves the strong positive relation between x and y. R square is the coefficient of determination which proves the percentage of explanation of y by x.

Along with this also some other statistical analysis can be added for better understanding of this situation. In the previous analysis we have done the regression analysis as per the basis of number of companies acquiring with the cost of the merging price so that we will be able to understand the increment and decrement of the shareholders’ investment. Here we come to the limitations of this study. This aspect focuses only on the Chinese bidders and it’s limited to M&A. However, due to insufficient knowledge acquired from the target companies, this study only generalized the returns of bidder firms. Following that, it looked after the steps that a corporate internal government would take on abnormal mechanisms. Despite of it being a limitation, this much liability was concerned since an internal governance of a corporate works only on the internal matters and not the external matters. Lastly, this study is totally based on only one country, i.e., China, so the generalization is not beyond that. But the results obtained can be applicable to many economical firms which work with the same perspectives discussed in this study.

Further Research Recommendations:

Since the decision is impacted by a lot of points, thus the study amongst corporate governance and irregular returns undergo insufficient justification from the independent points. This survey focuses on secondary data and not human attempts in decision making. It would have also explained the strategic planning and the way a decision is being made in developing principles of corporate governance and not just the result of effectiveness of the investments which are made in governance principles of corporate.

Thus, further research including even more aspects and variables, is recommended to go through the leftover issues. The future research should include different stock performance measures to have a clear view on the economic stuff. We also need to look after the fact whether the deals are friendly or not. From this study we know that all the stock deals have positive returns and cash deals have negative returns respectively, in short-term. However, in long-term, the cash and stock deals have negative impact respectively, relating to the abnormal returns.

This study is quite less compared to the study regarding the UK and the US economy. Similar study in other markets needs to be done for a clear reviewing of this research.
